Report of the

Board of Directors of BFC Homes, Inc.

     The work of God in and through the ministry of Bible Fellowship Church Homes, Inc., is one which we need to heed Paul’s advice to Timothy to endure hardship as a soldier, compete as an athlete who follows the rules, and to share in the first-fruits as a hard-working farmer. It is our job to realize that a faithful commitment to Christian principles results in enjoying the fruits of one’s labors.

     Our resident occupancy continues at a very high level 98% at Fellowship manor, Whitehall, 85% at Fellowship Home, Nazareth and 100% at Fellowship Courts, Whitehall. God has been faithful.

     This past year has been a very active and productive year for the Board of Directors and the Fellowship Community staff. Third Age Inc. completed a Marketing and Strategic Plan for Fellowship Community in 1998. The plan demonstrates a need to provide services at the Whitehall Campus which allow senior citizens to “age in place”. This plan includes building an Assisted Living Facility on the Whitehall Campus, additional Independent Living single story townhouses, storage space, new rehabilitation department and space for activities which would enhance the quality of life for the residents.

     In 1999 the Board of Directors formulated a plan to implement PHASE III of the overall Fellowship Community development plan. PHASE III includes construction of an Assisted Living Wing to Fellowship Manor, Gehman Court (21 Independent Living units), Storage building, and Renovations in the underdeveloped area in Fellowship Manor.

     The following is a summary of significant progress made in initiating PHASE III and enhancements to the existing facilities and programs.

     1.  Engaged Batten Architects, PC to develop complete architectural plans to complete PHASE III of the Fellowship Community Development Plan. PHASE III includes:

           a.  Renovation of the undeveloped area in Fellowship Manor. This area will include a new state of the art Rehabilitation Department, enlarged Beauty Salon and a 125 seat multi-purpose room.

           b.  Construction of a 55,000 square foot building attached to Fellowship Manor. This building, to be called “Fellowship Haven” will include up to 122 licensed resident beds for assisted living classified residents. 40 of these units will be designated for Mentally Impaired residents. Fellowship Haven will also include a physician and dental office, administrative offices and a country store which will include an ice cream fountain.

           c.   Construction of a 21 independent living single story town house complex which will be named Gehman Court.

           d.  Construction of a 6,000 square foot storage building.

           e.  Construction of a pavilion and walking paths between Fellowship Manor and Fellowship Haven.

           f.   The final construction costs have been established at $10,787,258.

           g.  Construction should begin in the Spring of 2000.

2.  Engaged Arthur Funk and Sons from Lebanon, PA, to function as construction managers.

3.  Engaged KPMG from Harrisburg, PA, to prepare a financial and marketing feasibility study. The study is in final draft which indicates that the project is feasible.

4.  Engaged Legg Mason Wood Walker, Inc., to function as the Senior Managing Underwriter to market the Bonds. The Bond sizing has been established at approximately $12,750,000.

5.  Engaged the law firm of Wolf, Black, Schorr and Solis-Choen and the firm of Cozen and O’Connor to prepare the necessary legal documents. The Bonds will be issued by the Lehigh County General Purpose Authority as First Mortgage Revenue Bonds.

6.  Obtained the necessary building approvals from the Whitehall Township, Lehigh County Board of Commissioners, PA Dept. of Health and the PA Dept. of Public Welfare.

7.  Fellowship Community achieved Valuestar certification for high resident satisfaction. Valuestar is a national marketing research organization.

8.  Fellowship Manor and Fellowship Home received several minor low risk deficiencies from the Department of health and Department of Public Welfare during their annual surveys. All the deficiencies have been corrected. Fellowship Manor continues to be JCAHO (Joint Commission Accredited for Health Care Organization) accredited. The Manor will be re-surveyed in August, 2000.

9.  Fellowship Manor’s 24-hour dementia program was presented at a conference for the Pennsylvania State Activity Directors Organization. Eight Fellowship Manor employees participated in the two-day conference. Many inquiries and on-site visits resulted from the presentation.

10.      Fellowship Community continues to expand its outreach program which includes utilization of the facilities by the community and by providing educational services. The Lehigh Valley Jesus Video Project Steering Committee, Grace E. C. Church from Allentown, Lehigh Valley Crisis Pregnancy Center, Share the Power, and a Christian Men’s Leadership Committee hold meetings and services at the Manor. The Board of Church Extension and various other BFC committees meet at the Manor also.

11.      The Board of Directors Bylaws were reviewed, revised, and approved.

     The staff and volunteers at Fellowship Community (Fellowship Manor, Fellowship Home and Fellowship Courts) are to be commended for their caring attitude and cooperative spirit. We thank the Lord for providing us with a very dedicated and loyal staff.

     In conclusion of the report, the Board of Directors appreciate all the churches and individuals for their offerings and donations and prayers. It is with praise and thanksgiving to our God and Savior for His wonderful provision for this ministry. The needs are being met financially and the staff at each facility endeavors to implement the mission of Fellowship Community and strives to uphold the core values of the organization.
